Terms of Service
These terms govern use of Buxbells. The contracting and operating entity is Buxbells Resources LLC. By creating an account or using the service you agree to these terms.

1. Eligibility and accounts
You must be at least 18 years old and able to enter a binding agreement. Accounts are for business use by identified individuals. You are responsible for the accuracy of the account and organization information you provide.
2. Organizational accounts and authorized users
Workspaces are created and administered by your organization. Organization administrators may invite, assign roles to, and remove users. If you use Buxbells on behalf of an organization, you confirm you are authorized to accept these terms for it, and the organization is responsible for the acts and omissions of its authorized users. Consultant and multi-organization access applies only to workspaces where you hold an active membership.
3. Account security
Keep your credentials confidential, do not share logins, and notify us at security@buxbells.com if you suspect unauthorized access. Authentication is provided through our configured authentication platform.
4. Acceptable use
You agree not to:
- access data belonging to another organization, or attempt to bypass access controls, roles, or server-side authorization;
- probe, scan, overload, or interfere with the service or its scheduled ingestion endpoints;
- upload malicious code or unlawful content;
- resell or provide the service to third parties except as an authorized consultant with an active workspace membership;
- misrepresent Buxbells output as legal advice or as a certification of compliance;
- scrape, redistribute, or resell platform functionality or its underlying software.
5. Your data and your responsibility for it
You are responsible for the information, records, notes, and files your users submit, including evidence records and attachments, and for having the authority and any necessary consents to submit them. Do not upload content you are not permitted to share.
6. Protected health information
Do not submit protected health information, patient records, or unnecessary patient-identifiable information unless and until your organization has received explicit written authorization from Buxbells Resources LLC for that use. Buxbells is not represented as HIPAA compliant or HIPAA certified, and no business associate agreement is in place unless separately executed in writing with Buxbells Resources LLC. If PHI support is formally introduced, these terms and the Privacy Policy will be updated and eligible customers will be notified.
7. Regulatory information: limitations and no legal advice
Buxbells provides regulatory intelligence and compliance workflow tooling. It does not provide legal advice, does not create an attorney-client relationship, and does not replace counsel, regulators, accreditation bodies, licensing agencies, or your own professional compliance judgment. We do not guarantee compliance, and we do not guarantee that every potentially applicable law, rule, notice, guidance document, or licensing requirement has been captured. Applicability signals, summaries, and workflow output are informational aids; your organization makes its own determinations. See the Regulatory Information Disclaimer.
8. Source-backed information, third-party and government sources
Source-backed records are retrieved from public government publications and APIs and retain their source reference so you can verify them against the authoritative publication. Those sources control their own availability, timing, and accuracy, and we are not responsible for their content or interruptions. Government regulatory publications remain the property of, or in the public domain of, their issuing bodies; we claim no ownership of them.
9. Demonstration data
Workspaces may be populated with clearly labelled demonstration records so you can explore the product. Demonstration records are illustrative only. They are not authoritative, current, or complete regulatory information and must never be relied on for compliance decisions.
10. Intellectual property
- Buxbells Resources LLC and its licensors own the Buxbells software, interfaces, data model, applicability logic, documentation, and trademarks. No rights are granted except the limited right to use the service under these terms.
- You retain ownership of the content and data your organization submits. You grant us the limited rights needed to host, process, display, back up, and support it for your organization.
- Government and other public regulatory source material remains attributable to its issuing body; we do not claim ownership of it.
- If you provide feedback or suggestions, you grant us a non-exclusive, royalty-free right to use them to improve the service. Feedback is not confidential to you unless you mark it confidential and we agree in writing.
11. Subscriptions, trials, and billing
Access may be provided under a plan, a trial, or a pilot arrangement. Plan availability, entitlements, term, fees, and payment method are established in a written order, quotation, or pilot agreement between your organization and Buxbells Resources LLC; no pricing, discount, refund, or renewal commitment is created by these terms. Plan-based feature entitlements may limit access to features such as exports and portfolio reporting. Billing questions: billing@buxbells.com.
12. Suspension and termination
You may stop using the service at any time. We may suspend or terminate access for material breach of these terms, for suspected security abuse, for non-payment of amounts agreed in writing, or where required by law. We will act proportionately and, where practical, give notice.
13. Data after cancellation
Cancelling a subscription or downgrading a plan does not itself delete your compliance records; feature access may be reduced. Following termination, your organization may request an export or deletion of its workspace by writing to privacy@buxbells.com. We retain records for a limited period as described in the Privacy Policy before deletion, and we may retain audit and security history where we have a legal or security need to do so.
14. Availability and changes to the service
The service is provided on an ongoing development basis. Features may be added, changed, or removed, and scheduled ingestion, third-party sources, or infrastructure may be temporarily unavailable. We make no uptime, service level, or availability commitment unless separately agreed in writing.
15. Disclaimers
Except as expressly stated in a signed written agreement, the service and all regulatory information are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or regulatory sufficiency.
16. Limitation of liability
To the maximum extent permitted by law, neither Buxbells Resources LLC nor its officers, employees, or suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, regulatory penalties, fines, enforcement outcomes, or business interruption, arising out of or relating to the service. Our total aggregate liability for all claims relating to the service will not exceed the amounts actually paid by your organization to Buxbells Resources LLC for the service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100) where no amounts have been paid. These limits apply even if a remedy fails of its essential purpose, and do not limit liability that cannot be limited by law.
17. Indemnification
You will defend and indemnify Buxbells Resources LLC against third-party claims, damages, and reasonable costs arising from content your organization submits, from your use of the service in breach of these terms or applicable law, or from your organization's compliance or regulatory decisions.
18. Governing law and venue
These terms are governed by the laws of the State of Maryland, United States, excluding its conflict-of-laws rules. The state and federal courts located in Maryland have exclusive jurisdiction, and each party consents to venue there. Nothing here prevents either party from seeking injunctive relief to protect its intellectual property or data.
19. Changes to these terms
We may update these terms as the product and our commercial arrangements evolve. The version identifier and last-updated date above will change, and material changes will be communicated to workspace administrators. Continued use after an update constitutes acceptance of the updated terms.
